Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Labs & Health platform, websites, and related services (collectively, the “Service”), provided by Labs & Health (“we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service description
Labs & Health provides cloud-based workflow software for mobile phlebotomists, laboratories, and clinical practices, including tube label generation, draw session logging, multi-location inventory tracking, patient record management, arrival checklists, and specimen rejection analytics. The Service is a business tool and does not itself provide medical advice or diagnostic services.
2. Account obligations
You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for maintaining the accuracy of your account information, safeguarding your credentials, and all activity conducted through your account. You must notify us promptly of any unauthorized access. You are responsible for ensuring that every user you provision is properly licensed and authorized to perform the tasks they record in the Service.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Upload any content that infringes intellectual property rights or violates applicable privacy or healthcare laws;
- Attempt to interfere with, reverse engineer, or circumvent any security or access controls;
- Use the Service to send unsolicited communications or to train third-party machine learning models on other customers’ data;
- Resell, sublicense, or provide the Service to third parties except as permitted by your subscription plan.
4. Payment and subscriptions
Paid plans are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor. Subscription fees are non-refundable except where required by law. You authorize us to charge your designated payment method for all fees incurred. We may change prices upon at least 30 days’ notice; continued use after the effective date constitutes acceptance. You may cancel at any time; cancellations take effect at the end of the current billing period.
5. Data ownership
As between you and us, you own all datayou submit, upload, or otherwise make available through the Service (“Customer Data”), including patient records, draw logs, inventory entries, and related content. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and improve the Service to you. We will not sell your Customer Data. Upon termination, you may export your data for a reasonable period before deletion.
6. Confidentiality
Each party agrees to protect the other party’s confidential information using at least the same degree of care it uses to protect its own, and in no event less than a reasonable standard of care. Confidential information does not include information that is publicly available through no fault of the receiving party, independently developed, or rightfully received from a third party without restriction.
7. Intellectual property
The Service, including all software, interfaces, documentation, trademarks, and related materials, is owned by Labs & Health or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, subject to these Terms. All rights not expressly granted are reserved.
8. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, OR COMPLIANCE JUDGMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LABS & HEALTH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify and hold harmless Labs & Health and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your Customer Data, or your misuse of the Service.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable prior notice (for example, by email or in-app notification). Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
